M. Hadley Securities: Independent Broker-Dealer

M. Hadley Securities, Inc. is an independent, licensed broker-dealer, wholly owned by Malcolm H. Gissen & Associates. It gives our investment advisory firm far wider access to investment opportunities than most independent money managers have.

This access is important, for two reasons:

  1. These opportunities can be exceptional investments, and
  2. They can often provide much-needed diversification to portfolios as they have a low correlation to the stock market.

Take an example. Six years ago we discovered an investment sponsor who was offering investment programs buying apartment houses, fixing up the properties and selling them within three to four years. Returns were consistently well over 15% per year. Nationwide, only one other small broker-dealer was putting clients into these programs. We invested a substantial amount of our client’s assets into seven of these programs starting in 1997, and the results have been exceptional. When the stock market crashed in 2000, our clients’ investments in these apartment houses were totally unaffected.

As a small independent broker-dealer, we conducted our own due diligence with that opportunity, quickly determining that it was an excellent investment for many of our clients. Large broker-dealers would have taken months to conduct due diligence, would have incurred costs for their investors in the process, and may have missed the opportunity because they move so slowly.

We are constantly seeking other such opportunities. When we discover one, M. Hadley Securities can move quickly to approve the investment so we can start offering it to our clients. Our ability to move adroitly and reach decisions promptly while keeping costs down is so attractive to investment sponsors that we are approached by sponsors who prefer not to bring their excellent investment opportunities to other broker-dealers. These other broker-dealers are often loaded down with expensive infrastructures, charge investment sponsors to review their deals, and take too long to reach a decision whether to approve the investment.

Investors: Investment opportunities offered by M. Hadley Securities are available only to accredited investors, and only provided we can assure that the investment is suitable for the investor. By “accredited” we mean that the investor either has a high net worth (including your home) or high income for several years, and is sophisticated enough to understand the investment and its risks and make an intelligent decision to invest. And by “suitable for the investor” we mean that we are able to ascertain that the investment is appropriate for the investor’s circumstances. This requires that we know our investors’ financial pictures before we can allow them to participate in any investment program.

Considerations: While we might post information on this Website about particular investments we are recommending to clients, these investments are not necessarily appropriate for all investors. An investor’s financial goals, income, age, experience, knowledge, preferences, risk tolerance, family situation, and estate plan are some of the factors that must be considered before investing. Unless we feel that an investment is well-suited for an investor, we will not recommend it. And unless an investor understands how a particular investment works – its risks and its benefits – we do not recommend that the investor proceed. We do not pressure potential investors to make investments.

Opportunities:
REAL ESTATE. We expect to regularly offer opportunities to invest in real estate limited partnerships or limited liability companies investing directly in properties. Some of those programs will be designed to provide high current income, while others will aim for growth over three or four years. We are very selective in the programs we choose to offer, and intend to maintain our focus on finding such investments that have taken steps to limit risks and yet offer attractive upside potential.

VENTURE CAPITAL. VENTURE CAPITAL. From time to time we will raise money for start-up companies. These opportunities are unusual because the minimum investment for accredited investors can be as low as $25,000. These investments are highly risky, but the potential returns are commensurate with the risks.
